Constitution and Bylaw of Refined Church Limited

This Constitution applies to all Refined Church branches located at the addresses listed on the “Our Branch’s” page at RefinedChurch.com.
Adopted: May 26th, 2025
ARTICLE I. NAME
The name of this organization shall be Refined Church, headquartered in Aucklnad Central, Auckland, New Zealand, including all Refined Church branches listed on our official website.
ARTICLE II. PREROGATIVES
Section 1.
Refined Church Limited is a registered New Zealand company. It is not a charity or non‑profit organization. Refined Church and RefinedChurch.com are brands operating under Refined Church Limited. This structure allows the company to generate profit through merchandise and related activities to support church branches, ministries, worship, education, outreach, and other works led by God.
Section 2.
The church shall ordain and license individuals for ministry, evangelize the unsaved, educate believers, maintain missionary activities, and engage in ministries guided by Scripture.
Section 3.
This assembly shall govern itself according to New Testament principles: “Endeavoring to keep the unity of the Spirit in the bond of peace … till we all come in the unity of the faith, and of the knowledge of the Son of God Yahusha Ha Mashiach, unto a perfect man … unto the fullness of Christ … for we are many members, one body.” — Ephesians 4:3, 13
Section 4.
Refined Church Limited and its brands may acquire, manage, and dispose of property as necessary to fulfill its mission.
ARTICLE III. GOVERNMENT
Refined Church shall conduct its affairs autonomously, guided by biblical principles and governance structures determined by the assembly.
ARTICLE IV. TENETS OF FAITH
Refined Church accepts the Bible as the inspired Word of God and the foundation for faith and practice.
- The Scripture Inspired — The Bible is the infallible rule of faith and conduct.
- The One True God YAHUAH — Revealed through YAHUSHA HA MASHIACH.
- Man’s Fall and Redemption — Salvation through YAHUSHA alone.
- The Salvation of Mankind — Justification through faith in YAHUSHA.
- Baptism in Water — A sign of spiritual rebirth already received from Yahusha above.
- The Lord’s Supper — A remembrance of Christ’s suffering and promise.
- Baptism in the Holy Spirit — Empowerment for service and spiritual gifts.
- Sanctification — The pursuit of holiness.
- The Church — The Body of YAHUSHA.
- Evangelism and Ministry — A mandate to preach the gospel.
- Divine Healing — Provided through YAHUSHA’s atonement.
- The Blessed Hope — The return of YAHUSHA within believers and resurrection at life’s end.
- Fulfillment of the Law & Prophets — YAHUSHA fulfilled all prophecy before 70 AD.
ARTICLE V.
1. Baptism from Yahusha Above
Administered to believers who have repented and accepted YAHUSHA HA MASHIACH.
2. The Lord’s Supper
Observed regularly as commanded in Scripture — eating the words of Yahuah and Yahusha, covered by His blood, and receiving the new wine of His Spirit.
ARTICLE VI. MEMBERSHIP
Section 1. Eligibility
Membership is open to those who demonstrate faith in Yahusha Ha Mashiach and align with the tenets of Refined Church Limited.
Section 2. Active Membership
Members must participate regularly, support the ministry, and live consistently in Christian faith.
Section 3. Inactive Membership
Members absent for extended periods or out of harmony with teachings may lose voting privileges.
ARTICLE VII. OFFICERS
Section 1. Board of Trustees
The board shall include at least five members, including the CEO of Refined Church Limited (Paul Smith). The board oversees church affairs and property legally held by Refined Church Limited. Branch property legally owned by branch owners remains in their possession.
ARTICLE VIII. MEETINGS
- Regular worship services in all branches
- Annual administrative meeting to confirm trustees and review reports
- Special meetings as necessary
ARTICLE IX. DEPARTMENTS & COMMITTEES
Ministries for children, youth, adults, and outreach shall be established as needed under pastoral leadership and trustee oversight.
ARTICLE X. FINANCES
Church funds come from voluntary contributions, tithes, and offerings, managed by the treasurer with leadership oversight.
ARTICLE XI. PROPERTY
Property legally held by Refined Church Limited shall be managed in its name. Sale or mortgage requires approval by two‑thirds of the board. Branch property legally owned by branch owners remains in their possession.
ARTICLE XII. AMENDMENTS
This constitution may be amended by a two‑thirds vote of active members at a properly announced meeting.
